Terms ofService

"Company," "We," "Us," "Our" refers to Zenen Technologies Pvt Ltd, a company incorporated under the Companies Act, 2013 of India.

"Platform" refers to Creatzi, accessible at creatzi.ai, including all subdomains, applications, and services provided thereunder.

"User," "You," "Your" refers to any individual or entity that accesses or uses the Platform.

"Services" refers to all features and tools provided through the Platform, including AI-powered creative tools, document generation, and related functionalities.

"Content" refers to all text, graphics, images, software, audio, video, and other materials available on the Platform.

"User Content" refers to any content created, uploaded, or submitted by Users through the Platform.

"AI-Generated Content" refers to content produced by the Platform's artificial intelligence features based on User inputs.

"Credits" refers to the usage units allocated to Users for accessing AI-powered features.

"Subscription" refers to any paid plan offering access to premium features or additional Credits.

"Personal Data" has the meaning ascribed under applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (India), the General Data Protection Regulation (EU), and the California Consumer Privacy Act (US).

"Applicable Law" refers to all laws, regulations, and guidelines applicable to the User's jurisdiction and the Company's operations.

"Grievance Officer" refers to the individual designated by the Company to address User complaints and grievances.

To use the Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Services under any applicable law

The Platform is available globally, subject to compliance with local laws and regulations. If you are using the Platform on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

You may not use the Platform if you are located in, or a national or resident of, any country subject to comprehensive trade sanctions or embargoes.

To access certain features of the Platform, you must create an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with any third party
• Maintain only one account per individual
• Notify the Company at support@creatzi.ai within 48 hours of becoming aware of any unauthorized access to or use of your account

We reserve the right to verify your identity and may suspend or terminate accounts that we reasonably believe contain false or misleading information.

As a User of the Platform, you are responsible for:

• Using the Platform only for lawful purposes and in compliance with all applicable laws
• Ensuring the accuracy of content you create, upload, or share through the Platform
• Reviewing all AI-generated content before using it in professional or official contexts
• Complying with all applicable local, state, national, and international laws and regulations
• Respecting the intellectual property rights of others

You acknowledge and agree that:

• AI-generated content is not guaranteed to be accurate, complete, original, or free from errors
• AI-generated content may not be non-infringing, so you are responsible for reviewing and verifying all output
• The Company is not liable for any errors, omissions, or inaccuracies in AI-generated content
• AI features utilize third-party AI service providers, and the Company does not control these providers' underlying models
• Similar or identical AI-generated content may be produced for different Users given similar inputs
• AI-generated content does not constitute professional, legal, medical, financial, or any other form of specialized advice
• You are solely responsible for how you use AI-generated content, including in professional or official contexts

Current Offering: The Platform currently offers a free tier with 100 AI credits per month.

Future Paid Plans: Paid subscription plans may be introduced in the future. If and when paid plans are offered:

• We will provide at least 30 days' advance notice before introducing paid features
• Subscriptions will auto-renew unless cancelled before the renewal date
• All applicable taxes will be charged in addition to the subscription fee
• Payments will be processed through third-party payment processors, and the Company will not directly store your card details
• You agree to provide accurate payment information and authorize recurring charges for your chosen plan

We reserve the right to modify pricing with at least 30 days' notice to existing subscribers.

AI-powered features operate on a credit-based system:

• Free tier Users receive 100 credits per month
• Credits reset monthly and do not roll over to subsequent months
• Credits are non-transferable and hold no monetary value
• Credits may not be sold, bartered, or exchanged
• The Company reserves the right to implement fair use policies to prevent abuse
• Credit allocations may be adjusted with reasonable notice to Users

You may cancel your account at any time through your account settings.

For Future Paid Plans:

• Cancellation will take effect at the end of the current billing cycle
• You will retain access to paid features until the end of the period you have paid for
• India (Consumer Protection Act, 2019): A 7-day cooling-off period applies from the date of purchase for a full refund
• EU/EEA (Consumer Rights Directive 2011/83/EU): A 14-day right of withdrawal applies from the date of purchase
• After the applicable cooling-off period, fees are non-refundable except as required by applicable law
• Refund requests may be submitted to support@creatzi.ai

The Platform relies on third-party service providers in the following categories:

• AI service providers for content generation and enhancement
• Cloud infrastructure providers for hosting and data storage
• Content delivery networks and security services
• Payment processors (for future paid plans)
• Customer support tools

The Company is not responsible for outages, errors, or service interruptions caused by third-party providers. Your use of the Platform may also be subject to the terms and policies of these third-party providers.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or suitable for any particular purpose
• Defects will be corrected in a timely manner
• The Platform is free of viruses or other harmful components

Nothing in this section excludes or limits consumer rights that cannot be waived or limited under applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENEN TECHNOLOGIES PVT LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total amount paid by you to us in the 12 months preceding the claim, or (b) INR 10,000 (Indian Rupees Ten Thousand).

This limitation of liability does not apply to: (a) liability arising from willful misconduct or gross negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

By You: You may terminate your account at any time through your account settings or by contacting support@creatzi.ai.

By Company: We may suspend or terminate your account immediately, without prior notice, for conduct that violates these Terms, is harmful to other Users, or is otherwise detrimental to the Platform or Company interests.

Effect of Termination: Upon termination, you will have 30 days to export your data, unless the termination was due to abuse or violation of these Terms. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.

Survival: Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law shall survive termination of these Terms.

In the event of any dispute arising from or in connection with these Terms:

1. Informal Resolution: The parties shall first attempt to resolve the dispute informally for a period of 30 days from the date of written notice.
2. Mediation: If informal resolution fails, the parties shall attempt mediation before proceeding to arbitration.
3. Arbitration: Any unresolved dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a single arbitrator, in the English language, with the seat of arbitration at Sri Ganganagar, India.

Exception: Either party may seek injunctive or equitable relief in any court of competent jurisdiction for matters relating to intellectual property infringement or unauthorized access.

To the extent permitted by applicable law, you agree to waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.
